In short
- The Pickup Charter platform, name, logo and design belong to Pickup Technology Limited.
- You may use the platform to book trips. You may not copy it, scrape it or reuse its content.
- Operators own their photos. You own your reviews, and give us a licence to show them.
- Partners using our brand assets must follow the Brand Use Terms in section 4.
- If you think something on the platform infringes your rights, email legal@pickupltd.com. A person reviews every report.
This summary is for convenience only. The numbered clauses below govern.
1. Ownership
1.1 Copyright and other rights in the Platform, including its software and source code, design system, interfaces, text, graphics, commissioned photography and film, illustrations, data compilations and documentation, and their selection and arrangement, belong to Pickup Technology Limited, RC 9548096 ("Pickup"), or its licensors. They are protected by the Copyright Act 2022 of the Federal Republic of Nigeria and equivalent laws elsewhere. All rights are reserved.
1.2 Permitted use. You may view and use the Platform to discover, book and manage charter services, under the licence in the Terms of Use and, where they apply, the Guest Terms or Operator Agreement.
1.3 Not permitted. Beyond that licence, you must not copy, reproduce, republish, adapt, translate, distribute, frame, mirror, scrape, sell or exploit any part of the Platform, or extract or reuse any substantial part of its data, including Listings, prices, availability and reviews, without our prior written consent. The Acceptable Use Policy sets out the rules on automated access and reverse engineering.
1.4 Fair use. Nothing in this policy limits any use the Copyright Act 2022 or another law allows without permission, such as fair dealing for criticism, review or news reporting.
2. Content belonging to others
2.1 Operators own the photographs and descriptions they supply, or have the right to use them, and license them to us to display and to promote the Platform.
2.2 Guests own the reviews and content they submit, and license them to us under clause 2.4.
2.3 Showing that content on the Platform gives no one else any rights in it.
2.4 Your licence to us. When you submit content, such as a review, a photograph or a message, you keep ownership of it and give Pickup a non exclusive, royalty free, worldwide, transferable and sublicensable licence to host, store, display, reproduce, adapt for format, translate, publish and distribute it on the Platform and to operate, secure, improve and promote Pickup and the Platform in any media now known or later developed, for as long as it stays on the Platform and for a reasonable period after that to clear it from backups and materials already published. We may sublicense it only to our service providers and partners for these purposes. We do not use a review or photograph with your name or face in paid advertising without asking you first. You confirm you have the right to give this licence and that the content does not infringe anyone's rights. Content must follow the Content Policy. We have no general duty to monitor content, but we may remove content that breaks that policy, these terms or the law.
2.5 Moral rights. You keep your moral rights in your content as the author. To the extent the law allows, including the Copyright Act 2022, you consent to Pickup and its licensees using your content as clause 2.4 permits without naming you as its author and in adapted form (for example cropped, resized, translated or shortened for display), and you agree not to assert your moral rights against Pickup or its licensees for that use. We do not change the meaning of a review or present your content in a way that is misleading or damages your reputation.
2.6 Feedback. If you send us suggestions about the Platform, we may use them freely without paying you, but we do not name you without your permission.
3. Trade marks
3.1 Pickup, Pickup Charter, the Pickup mark and logotype, Charter Elite and the other tier names on the Platform are trade marks of Pickup Technology Limited. We protect them under the Trade Marks Act (Cap. T13, Laws of the Federation of Nigeria 2004), the common law of passing off and equivalent laws elsewhere. We use the ® symbol, or describe a mark as registered, only where registration has been granted in the country concerned.
3.2 Other names and marks on the Platform, including those of Operators, vehicle, vessel and aircraft manufacturers and service providers, belong to their owners. We use them only to describe what is offered. Their appearance implies no endorsement, sponsorship or affiliation.
4. Brand Use Terms
These Brand Use Terms apply to anyone who downloads or uses Pickup brand assets, including partners, Operators, affiliates, media and co marketing partners.
4.1 Pickup's brand assets, including trade marks, logos, designs and other visual elements, are proprietary. By downloading or using any Pickup brand asset, you agree to these Brand Use Terms.
4.2 Agreement. You must also follow any brand guidelines, co marketing rules or approval conditions we give you in writing, and any agreement you have with us. If they differ from these Brand Use Terms, the written agreement applies.
4.3 Enforcement. Pickup may take action against unauthorised, misleading or infringing use of its brand assets, or any use that does not comply with these terms.
4.4 Ownership. Pickup is the owner or authorised holder of its trade marks and brand assets. You may not challenge, interfere with or claim ownership of Pickup's trade marks or other proprietary brand elements.
4.5 Attribution. When using Pickup trade marks, you must clearly represent them as belonging to Pickup Technology Limited where attribution is required.
4.6 No implied endorsement. You must not use Pickup trade marks, logos or brand assets in a way that implies Pickup has sponsored, endorsed or formally partnered with your business unless that relationship has been expressly approved in writing.
4.7 No registration. You may not use or attempt to register any Pickup trade mark, logo or brand element, in whole or in part, or anything confusingly similar to Pickup's marks, as a trade mark, company name, trade name, domain name, social media handle, app name or other brand identity.
4.8 No alteration. You must not alter, misuse, disparage, dilute or otherwise damage the Pickup brand. This includes changing approved colours, modifying typography, distorting or stretching logos, obscuring brand elements, adding unauthorised effects, animating marks or otherwise modifying approved assets.
4.9 No false claims. You must not use Pickup's brand with a claim Pickup does not make, including any claim about insurance, cover, safety guarantees, licences or approvals.
4.10 Goodwill. Any goodwill generated through the authorised use of Pickup trade marks and brand assets belongs to Pickup.
4.11 Changes and revocation. Pickup may update these Brand Use Terms, modify its brand assets or revoke permission to use its trade marks or other brand features at any time, on written notice. When permission ends, you must stop using the assets within a reasonable time we set.
4.12 No other rights. Except for the limited permission to use Pickup brand assets for approved purposes, no other rights are granted, whether expressly, by implication or otherwise.
4.13 Operators. A verified Operator may describe itself accurately as a verified operator on Pickup Charter, in the form the brand guidelines allow, as the Operator Agreement provides, and must stop when it no longer lists on Pickup.
4.14 Contact. For questions about brand assets, co marketing, licensing, logo use or approval requests, contact your Pickup point of contact, or legal@pickupltd.com.
5. Reporting infringement (notice and takedown)
5.1 Who can report. The owner of a copyright, trade mark or other right, or a person authorised to act for them, may report material on the Platform that they believe infringes that right. Report it in the app with Report, or email legal@pickupltd.com with the subject "Infringement notice".
5.2 What to include. A complete notice includes:
(a) the work or mark and your rights in it, with evidence such as a registration number or proof of authorship where you have it; (b) the material complained of and where it appears, with a link or screenshot; (c) your name, address, email address and phone number, and if you act for the owner, your authority to do so; (d) a statement that you believe in good faith the use is not authorised by the owner, its agent or the law; and (e) a statement that the information in the notice is accurate, made knowing that a deliberately false notice may create liability, and your signature (a typed name is enough).
5.3 What we do. We acknowledge a complete notice within 2 business days and decide it within 10 business days. A person reviews it. Where the claim appears to be made out, we remove or disable access to the material, tell the person who supplied it why and send them the notice (we may remove your personal contact details from it if you ask, unless they are needed for the dispute), and tell you the outcome. If the notice is incomplete, we tell you what is missing. We may restore the material if the claim fails or is withdrawn.
5.4 Counter notice. If your material was removed and you believe that was a mistake, or that you have the right to use it, email legal@pickupltd.com within 30 days with: the material removed and where it appeared; your reasons; your name, address and contact details; and a statement, made in good faith, that the material was removed by mistake or that you have the right to use it. We pass your counter notice to the person who complained. We restore the material after 10 business days unless they tell us within that time that they have started legal proceedings or applied to a competent authority about it.
5.5 Repeat infringers. Where we have upheld valid notices against the same Account on two or more occasions, we may suspend or close the Account under the Account Suspension and Removal policy.
5.6 Other rights. Reporting to us does not stop you taking any other step the law allows, including going to court or using the notice and takedown procedures of the Copyright Act 2022. We act on valid court orders and lawful directions from competent authorities, including the Nigerian Copyright Commission.
5.7 Other complaints. Complaints that content is defamatory, unlawful or breaks our rules for another reason follow the Content Policy.
6. Open source
6.1 The Platform uses open source software under its own licences. Nothing in these terms limits your rights under those licences. A list of the components we use and their licences is available on request from legal@pickupltd.com.
7. Law
7.1 This policy is governed by the law of the Federal Republic of Nigeria. Disputes are resolved as the Terms of Use set out.
