Updated 2 November 2026 · 12 min read
Version 3.0. Effective 2 November 2026.
In short
- Joining the Pickup affiliate programme is by invitation or application, and approval is at our discretion. It runs by written agreement, not through a self serve dashboard.
- Your commission is agreed with you in writing. There is no public rate.
- Commission is earned only on completed, paid bookings attributed to you under your agreement, after the refund window. We can claw it back if a booking is later refunded or charged back.
- Promote Pickup honestly, say that you are paid, and follow Nigerian advertising, consumer and data protection law.
- We check your identity, tax details and bank account before we pay you.
- Our liability to you is capped at the greater of the commission paid or payable in the last 12 months and ₦100,000, except for death, personal injury, gross negligence, fraud or anything the law does not allow us to exclude. Disputes go to negotiation, then individual arbitration in Lagos, with no opt out.
This summary is for convenience only. The numbered clauses below govern.
1. About these terms
1.1 Parties. These Affiliate Terms are between Pickup Technology Limited, RC 9548096, Lekki Phase 1, Lagos State, Nigeria, trading as Pickup Charter ("Pickup", "we", "us"), and each person or business approved as an affiliate ("Affiliate", "you").
1.2 Affiliate Agreement. They apply together with your written affiliate agreement or approval letter ("Affiliate Agreement"), which sets your Commission and any other commercial terms. If they conflict, the Affiliate Agreement prevails.
1.3 Other terms. These Affiliate Terms sit under the Terms of Use. The Acceptable Use Policy also applies to you. Capitalised words not defined here have the meaning given in the Guest Terms.
1.4 When you become an Affiliate. Until you have a signed Affiliate Agreement, you are not an Affiliate and earn no Commission.
1.5 Acceptance and records. You accept these Affiliate Terms by signing the Affiliate Agreement, including by a typed name or a ticked box. We record the version, date, time and user. Electronic records may be produced in evidence, with any certificate the Evidence Act 2011 requires.

| Commission | The amount set in your Affiliate Agreement, payable on Qualifying Bookings. |
3. Joining
3.1 You may apply or be invited. We may approve or decline any application without giving reasons.
3.2 Eligibility. An individual Affiliate must be at least 18. A business Affiliate must be validly registered (for Nigerian businesses, with the Corporate Affairs Commission). Your website, channel or audience must fit premium travel, and must not contain content that is misleading, offensive or unlawful, or that describes Pickup as a self drive, rental or ride hailing service.
3.3 Checks. We verify your identity or business registration, its directors and the persons with significant control, your tax details and your bank account before approval and before any payment, and may repeat those checks. We may screen Affiliates against sanctions lists.
3.4 Pickup employees, Operators and crew registered on the Platform may not be Affiliates unless we agree in writing.
3.5 Not exclusive. The programme is not exclusive. We may work with other affiliates and partners anywhere.
4. Commission
4.1 Basis. Your Commission, its basis (for example, a share of the Pickup service fee or a fixed amount per Qualifying Booking) and the attribution window are set in your Affiliate Agreement. There is no public rate. Commission is paid by Pickup from its own revenue. It never increases the price a Guest pays or reduces what the Operator receives.
4.2 Qualifying Bookings only. Commission is earned only on Qualifying Bookings attributed to your Affiliate Link. Our attribution records are final, except for manifest error.
4.3 Attribution. A Booking is attributed to the last valid Affiliate Link used before the Referred Guest opened their Account, within the attribution window in your Affiliate Agreement.
4.4 No Commission on: Bookings by you or people acting for you; existing Guests; Bookings cancelled, refunded, charged back or disputed; Bookings obtained in breach of these Affiliate Terms; or Company Account Bookings unless your Affiliate Agreement says so.
4.5 Payment. We pay Commission monthly in arrears, after the refund window has passed, by bank transfer, to an account in your name or your business's registered name, once your balance reaches any minimum set in your Affiliate Agreement. We do not pay to third party accounts or in cash.
4.6 Tax. Commission is stated inclusive of any value added tax you are required to charge, and you must give us a valid tax invoice where the law requires one. Taxes are charged and accounted for as the Nigeria Tax Act 2025 and the Nigeria Tax Administration Act 2025 require. Where the law requires us to deduct withholding tax, we deduct only the amount required, pay it to the relevant tax authority and send you the receipt or credit note, unless you have given us a valid exemption. You are responsible for your own taxes.
4.7 Statements. For each month in which you earn Commission, we email you a statement of Qualifying Bookings and Commission. You must raise any query within 30 days of the statement. We will look into it in good faith and correct any error we find.
4.8 Clawback and set off. If a Booking on which Commission was paid is later refunded, charged back or found to be fraudulent, we may deduct that Commission from future payments, or ask you to repay it within 30 days.
5. How you may promote Pickup
5.1 Honestly. Describe Pickup accurately: a technology marketplace for chauffeur driven cars, crewed boats and yachts, and private jet charter, provided by independent licensed operators. Never describe Pickup as a carrier, a transport operator, a taxi or ride hailing company, a rental company or a self drive service.
5.2 Disclose. Clearly disclose in every promotion that you are paid or rewarded by Pickup, in line with the Federal Competition and Consumer Protection Act 2018 and the Advertising Regulatory Council of Nigeria Act 2022 and its codes, where they apply to you. Obtain any advertising approval the law requires for your promotion. Outside Nigeria, follow the advertising rules of the place you promote in.
5.3 Never claim:
- prices, discounts or availability we have not published;
- that Pickup provides or arranges insurance or cover of any kind, or any cover amount or insurer name;
- 24/7 support or a 24 hour safety line;
- regulator approvals, licences or partnerships we have not published;
- police escorts, armed security, self drive, or night boat trips; or
- statistics or testimonials we have not supplied.
5.4 Brand licence. We grant you a limited, revocable, non exclusive, non transferable licence to use our names and logos only to promote Pickup under these Affiliate Terms, as our brand guidelines and your Affiliate Agreement allow. Do not bid on "Pickup", "Pickup Charter" or similar terms in paid search, or register domains, handles or pages containing them, without our written consent. Any goodwill belongs to Pickup.
5.5 Your content. You grant us a non exclusive, royalty free licence to copy and display your promotions to review them, keep records and answer questions from regulators and Guests. You promise your promotions are your own or properly licensed.
5.6 No spam or tracking tricks. No unsolicited bulk messages, no cookie stuffing, forced clicks or misleading redirects, no setting tracking cookies on a person's device without the consent the law requires, and no coupon or cashback sites unless your Affiliate Agreement allows it.
5.7 Records. Keep copies of your promotions for 12 months and give them to us on request.
5.8 Our review. We may ask you to change or remove any promotion at any time, and you must do so within 48 hours.
6. Data protection
6.1 You must comply with the Nigeria Data Protection Act 2023, and any other data protection law that applies to you, in collecting and using personal data for your promotions, including obtaining consent where required for marketing messages and cookies.
6.2 We do not share Referred Guests' personal data with you. Any report we give you is aggregated. You must not try to identify a Referred Guest from it.
6.3 You and Pickup are each independent controllers of the personal data each processes. Our processing is described in the Privacy Policy.
7. Conduct
7.1 Anti bribery. You must not offer, give or accept any bribe or improper payment in connection with the programme, including to any Pickup employee or any public official.
7.2 Sanctions and financial crime. You confirm you are not a sanctioned person and will not use the programme to move money for anyone else. We may withhold payment and report to the authorities as the Money Laundering (Prevention and Prohibition) Act 2022 and sanctions law require.
7.3 Relationship. You are an independent contractor. You are not Pickup's employee, agent or partner, and you may not bind Pickup or make any promise on its behalf.
8. Suspension and termination
8.1 Either party may terminate on 30 days' notice by email, unless your Affiliate Agreement says otherwise.
8.2 We may suspend or terminate immediately, and withhold unpaid Commission related to the breach, if you breach these Affiliate Terms, act fraudulently, fail our checks or damage Pickup's reputation.
8.3 On termination, you must stop using your Affiliate Link and our brand and remove your promotions within 7 days. Commission earned on Qualifying Bookings before termination is paid in the ordinary course, subject to clawback.
9. Liability and indemnity
9.1 You indemnify Pickup against losses, fines and reasonable costs arising from your promotions, your breach of these Affiliate Terms, or your breach of advertising, consumer protection or data protection law.
9.2 Pickup's total liability to you is limited to the greater of the Commission paid or payable to you in the 12 months before the claim and ₦100,000. Pickup is not liable for loss of profit, revenue or opportunity, or indirect or consequential loss. These caps and exclusions do not apply to death, personal injury, gross negligence, fraud or wilful misconduct, or anything the Federal Competition and Consumer Protection Act 2018 does not allow Pickup to exclude, or any other liability that cannot lawfully be excluded or limited.
9.3 We do not guarantee any level of Bookings or earnings, or that attribution will be uninterrupted.
10. Disputes and governing law
10.1 Law. These Affiliate Terms, and any non contractual obligation connected with them, are governed by the laws of the Federal Republic of Nigeria.
10.2 Negotiation. A dispute is raised first in writing with your affiliate contact. Senior representatives of each side will try in good faith to settle it within 30 days.
10.3 Arbitration. A dispute not settled within 30 days will be finally resolved by arbitration under the Arbitration and Mediation Act 2023, administered by the Lagos Court of Arbitration under its arbitration rules in force when the arbitration starts. The seat is Lagos, the language is English, and the tribunal is a sole arbitrator. There is no opt out. The arbitration and the award are confidential, except as needed to enforce or challenge the award or as the law requires.
10.4 Individual claims only. Claims are brought only on an individual basis, not in any class, group or representative proceeding.
10.5 Exceptions. Either party may bring a claim within a small claims procedure, or apply to court for urgent interim relief, including to protect its brand or confidential information.
10.6 Costs and service. Each party pays its own lawyers' fees, and the arbitral institution's and arbitrator's fees are shared equally, unless the tribunal decides otherwise. Formal court process is served as the rules of court require, at Pickup's registered office, whose address is on the public register kept by the Corporate Affairs Commission.
11. General
11.1 Changes. We may change these Affiliate Terms on 30 days' notice by email. A change required by law takes effect immediately. Continuing in the programme after a change takes effect is acceptance of it, or you may terminate instead. A change to your Commission needs your written agreement or 30 days' notice, after which you may terminate before it takes effect.
11.2 Ending the programme. We may close the affiliate programme on 30 days' notice. Commission earned on Qualifying Bookings before closure is paid in the ordinary course, subject to clawback.
11.3 Confidentiality. Your Commission and our reports are confidential, unless the law requires disclosure.
11.4 Notices. Notices, including any notice of breach or termination, are given by email. Notices to you go to the email in your Affiliate Agreement. Notices to Pickup go to legal@pickupltd.com. A notice takes effect when it is received. See Contact Legal.
11.5 Assignment. You may not transfer your rights or obligations without our written consent. We may transfer ours to a successor in a merger, acquisition or reorganisation, on notice.
11.6 Entire agreement. These Affiliate Terms and your Affiliate Agreement are the entire agreement on the programme. This does not exclude liability for fraudulent misrepresentation.
11.7 Other terms. If a provision is invalid, the rest continue. A delay in enforcing a right is not a waiver. No one else may enforce these Affiliate Terms. Neither party is liable for delay caused by a Force Majeure Event, as defined in the Guest Terms. These Affiliate Terms are in English.
11.8 Survival. Clauses 4.8, 5.5, 6, 9, 10 and 11.3 survive termination.
