Corporate / Business Terms
Additional terms for companies whose people book chauffeur driven cars, crewed boats and private jet charter on Pickup, with those trips kept on a company account and a monthly invoice.
Updated 2 November 2026 · 17 min read
Version 3.0. Effective 2 November 2026.
In short
- A company account is set up with our team by written agreement. It keeps your paid trips together, with named bookers, cost centres and one monthly invoice.
- The app has no company sign up, approval steps, spending limits or pay by company account. Each booker has their own guest account and pays each booking at checkout. Our team then puts the paid trip on your account by its reference.
- Your company is responsible for everything its bookers do on the account, and for any amount it owes under these terms.
- The Guest Terms apply to every booking. These terms add to them for company accounts and prevail on invoicing and account administration.
- Pickup is a booking platform. Independent licensed operators provide every trip under their own contract, and hold their own commercial cover. Pickup does not sell insurance. Prices are all in, with no surge.
- Our liability to a business is capped at the greater of the service fees paid in the 12 months before the claim, or ₦100,000 (clause 10), except for death, personal injury, gross negligence, fraud, or anything the law does not allow us to exclude. Disputes go to support, mediation, then final individual arbitration. A business cannot opt out, and there are no class or representative claims.
This summary is for convenience only. The numbered clauses below govern.
1. About these terms
1.1 Parties. These Corporate / Business Terms ("Corporate Terms") are between Pickup Technology Limited, RC 9548096, Lekki Phase 1, Lagos State, Nigeria, trading as Pickup Charter ("Pickup", "we", "us"), and the company, firm, embassy, international organisation or other body that has a Company Account ("Company", "you").
1.2 Relationship to other terms. The Guest Terms apply to every Booking on the Company Account. The Payments Terms and the Cancellation and Refund Policy also apply. All of them sit under the Terms of Use. If they conflict on invoicing or account administration, these Corporate Terms prevail. On everything else, the Guest Terms prevail.
1.3 Written agreement. A Company Account is set up under a written agreement between the Company and Pickup, which records the Company's details, its bookers and cost centres, any monthly limit and its payment terms. It prevails over these Corporate Terms to the extent it expressly says so.
1.4 Acceptance and evidence. The Company accepts these Corporate Terms when it accepts that written agreement, by a typed name or a clear tick. Under sections 84 and 93 of the Evidence Act 2011, these are valid. We keep a record of the version, the date, the person and how they accepted. Electronic records may be produced in evidence, with any certificate the Evidence Act 2011 requires, and may not be challenged only because they are electronic.
1.5 Business User. A Company contracts in the course of its business and is a Business User, not a Consumer, unless the law treats it otherwise. Travellers and Authorised Bookers keep their own consumer rights under the Guest Terms.
1.6 Definitions. Capitalised words have the meaning in the Guest Terms and the Payments Terms. In addition:
| Term | Meaning |
|---|---|
| Authorised Booker | An individual the Company names to Pickup as someone who books for it. |
| Company Account | The Company's account with Pickup under these Corporate Terms, run by Pickup's team. |
| Cost Centre | A code, department, project or client reference the Company sets up with Pickup to allocate trips on its invoices. |
| Monthly Invoice | The monthly invoice described in clause 6. |
2. Pickup's role
2.1 Booking platform. Pickup is a booking platform. The Charter Contract for each trip is with the Operator. Pickup does not own, operate, crew, fuel, pilot or navigate any Vehicle, Vessel or Aircraft, and is not a carrier, transport operator, travel agent, tour operator, insurer or employer of crew.
2.2 Payment collection agent. Pickup collects the Booking Value as the Operator's limited payment collection agent, through Flutterwave. Payment of the Booking Value to Pickup is payment to the Operator, and discharges the obligation to the Operator to that extent. Pickup charges its Service Fee for its own account.
2.3 Insurance. Operators are independent licensed operators that hold their own commercial cover. Pickup checks the documents and does not sell insurance. The Company may ask the Operator for its policy details before a trip. Claims for damage or injury are made first against the Operator and its insurer, and Pickup will share booking records to support a claim. The Company remains responsible for any insurance it needs for its own people.
2.4 Duty of care. The Company remains responsible for its own duty of care, travel policies and risk assessments for its employees and guests. Pickup's verification of Operators does not replace them.
3. Setting up a Company Account
3.1 How it is set up. Our team sets up a Company Account by agreement with the Company. The app has no company sign up. Contact hello@pickupcharter.com to ask for one.
3.2 Eligibility. The Company must be validly registered (for Nigerian companies, with the Corporate Affairs Commission) or otherwise lawfully constituted.
3.3 Checks. We may check the Company's registration and Tax Identification Number, and ask for evidence of authority, such as a letter of authorisation. We screen against sanctions lists, as the Money Laundering (Prevention and Prohibition) Act 2022 and sanctions law require.
3.4 Authority. The person accepting for the Company confirms they are authorised to bind the Company to these Corporate Terms.
3.5 Our discretion. We may decline to set up, pause or close a Company Account.
4. Authorised Bookers and Travellers
4.1 Naming bookers. The Company tells Pickup who books for it, and our team adds them to the Company Account. Each Authorised Booker must be at least 18. They book in the app with their own guest Account, under the Guest Terms, and complete their own identity check.
4.2 Company responsibility for bookers. The Company is responsible for every trip on the Company Account, and every act or omission of each Authorised Booker in making it, as if it were the Company's own.
4.3 Removing access. The Company must promptly tell Pickup when a person leaves it or is no longer authorised. Until it does, trips they make that are put on the Company Account are the Company's responsibility, unless the Company has told Pickup in writing that the Company Account is compromised.
4.4 Travellers. Bookers may book for employees, guests and clients of the Company. The Company must make sure every Traveller follows the Guest Terms, including the passenger, conduct, identity verification and Passenger Manifest rules, and has been told about the Privacy Policy.
4.5 No approval steps in the app. The app has no approval step and does not enforce a spending limit. A monthly limit in the written agreement is for Pickup and the Company to manage the account. It does not stop a booker making a Booking. The Company's own policies are the Company's to apply.
4.6 Account security. Authorised Bookers sign in with email codes or Apple or Google sign in. Pickup never sends sign in codes by SMS or WhatsApp. The Company must make sure its people keep access to their email accounts secure.
5. Cost centres
5.1 The Company may set up Cost Centres with Pickup. Our team records the Cost Centre when it puts a trip on the Company Account. Bookers do not choose one in the app.
5.2 Cost Centres are for the Company's allocation and reporting only. They do not change the price, the Charter Contract or the Company's liability.
5.3 We will correct a Cost Centre allocation if the Company asks within 14 days of the invoice date. After that, corrections are made on the next Monthly Invoice only.
6. Paying, invoices and tax
6.1 All in pricing. The price shown on each Listing includes the Operator's price, the Pickup Service Fee, VAT and any statutory levies, and the amount charged is never higher than that price for the same trip details. There is no surge pricing.
6.2 Paying at checkout. Every Booking is paid at checkout under the Payments Terms, including the card cap, bank transfer to a virtual account for the Booking, and the private jet payment rules. There is no option to pay by Company Account at checkout.
6.3 Trips on the account. After a trip is paid, our team puts it on the Company Account by its reference, with its Authorised Booker and Cost Centre. A trip goes on one account at most.
6.4 Monthly Invoice. After a month ends, Pickup issues one Monthly Invoice for that month's trips on the Company Account, by trip start in Lagos time. It shows the number of trips, the total and the VAT charged. Cancelled trips are left off.
6.5 What is due. A trip paid at checkout is not charged a second time. Any amount your written agreement says the Company owes Pickup is due within the payment terms in that agreement, or 30 days from the invoice date if it sets none. Pay by bank transfer to the account shown on the invoice. Pickup never asks for payment to a different account by email or message. If the Company receives such a request, it must confirm it with Pickup at legal@pickupltd.com before paying.
6.6 Tax invoices. The Pickup Service Fee is a supply by Pickup and is invoiced with VAT where the law requires, electronically as the law requires. The Booking Value is the price of the Operator's service, and the Operator remains responsible for the tax on its own supply.
6.7 Withholding tax. Taxes are charged and accounted for as the Nigeria Tax Act 2025 and the Nigeria Tax Administration Act 2025 require. Where the law allows the Company to deduct withholding tax from a payment to Pickup, it may deduct the amount required, must pay it to the relevant tax authority on time, and must send us the credit note within 30 days. A deduction made without the credit note is treated as unpaid.
6.8 Queries. The Company must raise any query on a Monthly Invoice within 14 days of issue.
6.9 Late payment. If an amount the Company owes is not paid on time, we may pause the Company Account until it is paid, and charge simple interest on the overdue amount at two percentage points a year above the Central Bank of Nigeria Monetary Policy Rate, calculated daily from the due date until payment, plus reasonable costs of recovery. Pausing the account does not affect Bookings already confirmed.
6.10 Currency. Payments and Monthly Invoices are in naira.
7. Bookings, cancellations and refunds
7.1 Same rules as Guests. Bookings on a Company Account follow the Guest Terms and the Cancellation and Refund Policy, including the rule that Pickup keeps the actual card and bank processing costs when a Booking is cancelled by the person who made it.
7.2 Refunds. A refund goes back to the payment method that paid for the trip. A trip cancelled before its Monthly Invoice is left off it. A paid invoice is corrected with a credit note.
7.3 Dedicated event support. For a corporate event, Pickup may agree in writing to provide dedicated support for the Company, for example a support line staffed for the dates and hours of the event. The scope, hours and any charge are set out in that written agreement. Outside it, the standard support described in the Guest Terms applies, and Pickup does not offer round the clock support.
7.4 Negotiated arrangements. Any volume or corporate arrangement with an Operator must be agreed and billed through the Platform.
8. Company obligations
8.1 The Company must keep its details, Authorised Bookers and billing contacts accurate with Pickup.
8.2 The Company must not let anyone other than Authorised Bookers book for it on the Company Account.
8.3 The Company must comply with the Acceptable Use Policy and the Off Platform Booking Policy. For 12 months from its last contact or message with an Operator through Pickup, the Company must not contract directly with an Operator it met through the Platform to avoid Platform fees.
8.4 Anti bribery and sanctions. Neither party will offer, give or accept any bribe or improper payment in connection with these Corporate Terms. The Company confirms it is not a sanctioned person and will not book for, or pay for, a sanctioned person.
9. Data protection
9.1 Independent controllers. Pickup and the Company are each independent controllers of the personal data of Authorised Bookers and Travellers that each processes. Each complies with the Nigeria Data Protection Act 2023 and any other data protection law that applies to it. Pickup processes this data as the Privacy Policy describes.
9.2 Sharing with Pickup. The Company confirms it has a lawful basis to share the personal data of its bookers and Travellers with Pickup and the Operator, and has told them how it will be used.
9.3 Reports. The Monthly Invoice and any report we give the Company cover trips on the Company Account. They never include identity documents, verification results or biometric data.
9.4 Location. Live location is shared only from 1 hour before a trip starts until 1 hour after it ends. A Traveller may choose to share an active trip with the Company's travel or security team through the trip sharing feature. The Company does not otherwise receive a Traveller's location.
9.5 Breaches and requests. Each party tells the other without undue delay, and in any event within 48 hours of becoming aware, of a personal data breach that affects the other's data under these Corporate Terms, and helps the other answer data subject requests and regulators about it.
10. Liability
10.1 The disclaimers, liability and indemnity sections of the Guest Terms apply to the Company, as changed by this clause.
10.2 Where the Company is a Business User, Pickup's total aggregate liability to the Company for all claims is limited to the greater of the Pickup Service Fees paid on the Company Account's trips in the 12 months before the claim arose and ₦100,000. Refunds due under the Guest Terms are not limited by this cap. Pickup is not liable for loss of profit, revenue, business or opportunity, or for indirect or consequential loss. These caps and exclusions do not apply to death, personal injury, gross negligence, fraud, or anything the Federal Competition and Consumer Protection Act 2018 does not allow Pickup to exclude.
10.3 The Company indemnifies Pickup against losses, liabilities and reasonable costs arising from: any Booking or act of an Authorised Booker or Traveller in breach of the Guest Terms or these Corporate Terms; any claim by a Traveller or Authorised Booker against Pickup arising from the Company's instructions or internal policies; the Company's breach of clause 9.2; and amounts it owes under clause 6. The indemnity does not apply to loss caused by Pickup's own negligence or breach.
11. Term, suspension and closure
11.1 These Corporate Terms continue until the Company Account is closed.
11.2 The Company may close its Company Account on 30 days' notice, subject to paying every amount owed.
11.3 We may pause or close a Company Account under Account Suspension and Removal and the Guest Terms, immediately for non payment, breach, fraud, failing our checks, or safety or legal reasons, and otherwise on 30 days' notice.
11.4 On closure, every unpaid amount becomes immediately due.
11.5 Bookings confirmed before closure remain valid unless they are cancelled under the Cancellation and Refund Policy. Trips on the Company Account appear on a final Monthly Invoice.
12. Disputes and governing law
12.1 Law. These Corporate Terms, and any non contractual obligation connected with them, are governed by the laws of the Federal Republic of Nigeria.
12.2 Steps. A dispute between the Company and Pickup is raised first with the Company's Pickup contact or at support@pickupcharter.com. If it is not resolved within 30 days, either party may refer it to mediation at the Lagos Multi-Door Courthouse, with the fees shared equally. If it is not resolved within 45 days of the mediator's appointment, it will be finally resolved by arbitration under the Arbitration and Mediation Act 2023, administered by the Lagos Court of Arbitration under its rules in force when the arbitration starts, seated in Lagos, in English, before a sole arbitrator.
12.3 No opt out, individual claims only. A Company that is a Business User cannot opt out of arbitration. Claims are brought on an individual basis only, not in any class, group or representative proceeding. Where 25 or more similar claims by Business Users are brought by coordinated counsel, they are heard in batches. The arbitration and award are confidential, except as needed to enforce or challenge the award or as the law requires.
12.4 Exceptions. Either party may apply to court for urgent interim relief, or bring a claim within a small claims procedure. Nothing prevents a complaint to a regulator. Individual Travellers and Authorised Bookers keep their own rights under the Complaints and disputes section of the Guest Terms, and no batching applies to them.
12.5 Costs and service. Each party pays its own lawyers' fees, and the arbitral institution's and arbitrator's fees are shared equally, unless the tribunal decides otherwise. Formal court process is served as the rules of court require, at Pickup's registered office, whose address is on the public register kept by the Corporate Affairs Commission.
13. General
13.1 Changes. We may change these Corporate Terms on at least 30 days' notice to the Company's billing contact by email. A change required by law or for safety takes effect immediately. If the Company does not accept a change, it may close the Company Account before the change takes effect, and the earlier terms apply until closure. A change never applies to a Booking already confirmed.
13.2 Confidentiality. Each party keeps confidential the other's non public commercial information, including pricing arrangements, invoices and reports, and uses it only for the Company Account. This does not apply to information that is public, already known, independently developed, or required to be disclosed by law, a regulator or a court.
13.3 Notices. Notices, including any notice of breach, termination or a dispute, are given by email. Notices to the Company go to its billing contact. Notices to Pickup go to legal@pickupltd.com. A notice takes effect when it is received. See Contact Legal.
13.4 Assignment. The Company may not transfer its rights or obligations without our written consent. We may transfer ours to a successor in a merger, acquisition or reorganisation, on notice.
13.5 Entire agreement. These Corporate Terms, the documents in clause 1.2 and the written agreement are the entire agreement on the Company Account. This does not exclude liability for fraudulent misrepresentation.
13.6 Other terms. If a provision is invalid, it is modified to the minimum extent needed, or removed, and the rest continue. A delay in enforcing a right is not a waiver. No one who is not a party may enforce these Corporate Terms, except an Operator relying on clause 2.2. Neither party is liable for delay caused by a Force Majeure Event, as defined in the Guest Terms. These Corporate Terms are in English, which prevails over any translation.
13.7 Survival. Clauses 2.2, 4.2, 6, 9, 10, 11.4, 11.5, 12 and 13.2 survive closure of the Company Account.
