Payments Terms
How payments on Pickup Charter work, where the money sits, when operators are paid, what is deducted and what the fees are.
Updated 2 November 2026 · 36 min read
Version 3.0. Effective 2 November 2026.
In short
- The price on the listing is the price you pay, in naira. It includes the operator's price, Pickup's service fee, VAT on that fee and any road levy, each shown as an amount at checkout. No surge. No card surcharge.
- Flutterwave, a licensed payment provider, processes every payment. Pickup collects as the operator's limited payment collection agent. The money stays in Pickup's balance with Flutterwave until it is paid to the operator by transfer or refunded. Pickup is not a bank.
- The operator is paid after the trip. Payout goes 1 hour after the trip ends (jets: 1 hour after landing, and nothing for a flight that never left). Bookings of 7 days or more pay weekly. Flagged bookings wait up to 72 hours. An open case holds the whole payout for that booking until it is decided.
- One card payment is capped at ₦5,000,000. A car or boat booking above that is paid in full by bank transfer. A jet booked 5 or more days ahead takes a 20% deposit, which you lose if you cancel or miss the balance deadline inside the notice window. A jet booked closer in is charged in full at checkout, with no card hold.
- If you cancel, Pickup keeps the actual card and bank cost the provider charged, shown on the refund, and never a flat or estimated amount. The road levy comes back in full if the trip does not take place. If the operator or Pickup cancels for a reason that is not your fault, you get everything back.
- Operators: commission includes VAT, with nothing added on top. Refunds and chargebacks decided against you come off your next payouts, unless you pay a refund back by transfer first, and you can carry a negative balance. Section 14 has the detail.
This summary is for convenience only. The numbered clauses below are the binding terms and govern if there is any difference.
1. About these terms
1.1 Who we are. These Payments Terms are issued by Pickup Technology Limited, RC 9548096, Lekki Phase 1, Lagos State, Nigeria, trading as Pickup Charter ("Pickup", "we", "us").
1.2 What they cover. These Payments Terms explain how money moves on the Platform: what Guests pay, how it is collected, when Operators are paid, and how refunds, chargebacks and tax are handled. They form part of the Guest Terms, the Operator Agreement and the Corporate Terms. Our Terms of Use, the umbrella agreement for using Pickup, also apply.
1.3 Order of precedence. On how a payment is collected, paid out, refunded or charged back, these Payments Terms prevail over the Guest Terms and the Terms of Use. For Operators, the Operator Agreement and the Fee Schedule prevail, then these Payments Terms. For a Company Account, the Corporate Terms prevail on invoicing.
1.4 Words we use. Capitalised words have the meaning given in the Guest Terms. In addition:
| Term | Meaning |
|---|---|
| Card Cap | The most that can be charged in a single card payment: ₦5,000,000. |
| Chargeback | A reversal of a card or bank payment ordered by the payer's bank, card issuer or card scheme. |
| Commission | Pickup's charge to the Operator for its platform and payment collection services, at the rate in the Fee Schedule, deducted from the Booking Value. It includes VAT. |
| Fee Schedule | The schedule of Commission and any other charges that apply to the Operator, in the operator dashboard, which the Operator Agreement incorporates by direct reference. |
| Net Payout | The Booking Value less Commission and any deductions under clause 14.13. |
| Payment Provider | Flutterwave, a licensed payment provider that processes payments for Bookings. |
| Settlement Account | The naira bank account in the Operator's registered business name, held with a bank in Nigeria and verified by Pickup. |
| Processing Costs | The actual card and bank cost the Payment Provider charged on a payment. |
| Release Time | The time at which the Operator's Net Payout, or for a Booking of 7 days or more each weekly part of it, is due to be sent, set out in section 4. |
| Virtual Account | A bank account number issued by the Payment Provider for one payment on a Booking, so that a bank transfer can be matched to that Booking. |
2. Pickup's role
2.1 Not a bank. Pickup is not a bank, deposit taker, payment service provider, mobile money operator, switch, e money issuer or escrow agent. It does not take deposits or operate a stored value facility. Wallet credit is a discount, not money (section 16).
2.2 Limited payment collection agent. Each Operator appoints Pickup as its limited agent to collect the Booking Value from Guests through the Payment Provider, to instruct payouts, refunds and set off, and to issue receipts on its behalf. That is the only agency. Pickup is not the Operator's agent for any other purpose, and does not contract for the trip, which is between the Guest and the Operator. For jets, Pickup acts as agent of the Air Operator's Certificate holder.
2.3 Payment to Pickup is payment to the Operator. Receipt of a Guest's payment by Pickup, or by the Payment Provider for Pickup, is receipt by the Operator. Once a Guest pays the Total Price through the Platform, the Guest's obligation to pay the Operator for the Booking Value is fully discharged, and the Operator may not ask the Guest for it again. If Pickup or the Payment Provider fails to account to the Operator, that risk is between them and the Operator, never the Guest's.
2.4 Pickup's own fees. Pickup collects the Service Fee and the Operator's Commission for its own account. The road levy is not Pickup's revenue and is dealt with as clause 17.3 explains.
3. The Payment Provider and how money moves
3.1 Licensed provider. Payments are processed by Flutterwave, a licensed payment provider. Its own terms also apply to your payment, and you may be asked to accept them.
3.1A Contracting party. Pickup Technology Limited is your contracting party for every payment.
3.2 How money moves. The Guest pays when the Booking is made (for jets, as section 9 sets out). Pickup collects the payment as the Operator's limited payment collection agent. The money stays in Pickup's balance with Flutterwave until it is paid to the Operator by transfer or refunded. At the Release Time, Pickup sends the Net Payout by transfer to the Operator's Settlement Account, in naira. Pickup keeps its Service Fee and Commission. Any road levy is dealt with as clause 17.3 explains.
3.3 Not a trust or wallet. The balance is not an escrow, trust, deposit or wallet, and these terms do not create one. Pickup pays no interest on it, and none is due to a Guest or an Operator.
3.4 Checks on Operators. Before an Operator can be paid, Pickup verifies the business and its directors, and checks the name on its Settlement Account with the bank. The Payment Provider may also run its own know your customer, anti money laundering and sanctions checks, and an Operator must give it what it asks for. Pickup cannot override a Payment Provider's decision to hold, delay or refuse a transfer.
3.5 Changing providers. We may add, remove or change Payment Providers. We will tell you before a change affects a payment method you use. A change never affects a payment already made for a confirmed Booking.
4. When the Operator is paid
4.1 Trip start. No code is used. A car or boat trip starts automatically at its booked start time, and a jet trip starts at wheels up. Reporting a problem does not stop the start.
4.2 Release Time for Bookings under 7 days. The Net Payout is sent in one payment 1 hour after the trip is complete. For private jets, it is sent 1 hour after landing, and nothing is paid for a flight that never left. Nothing is paid to the Operator before the trip starts. The Operator is told by push notification and email when its payout is sent.
4.3 Bookings of 7 days or more. The Net Payout is paid weekly: each completed 7 days of the trip is paid 1 hour after those 7 days end, and the remainder 1 hour after the trip is complete (for private jets, 1 hour after the last landing). A weekly part of a jet Booking is paid only while the trip is under way.
4.4 Flagged Bookings. The Release Time in clause 4.2 applies to every Operator from its first Booking. If a Booking or the Operator is flagged by our fraud and risk checks or placed under manual review, the payout waits up to 72 hours after the trip is complete, or until the flag is cleared if that is sooner.
4.5 Open cases. An open case on a Booking holds the whole payout for that Booking until the case is decided.
4.6 Refunds before and after a payout. Before a payout, a refund due under the Cancellation and Refund Policy is paid to the Guest from the balance. After a payout, for example where a complaint is upheld against the Operator after the trip, a refund due to the Guest is paid by Pickup and recovered from the Operator under clause 14.13. The Guest's refund never depends on Pickup recovering the money first.
4.7 Guest no show. If the Guest does not show, the crew record the no show in the app under the Cancellation and Refund Policy, and the Operator is paid on the usual schedule.
5. What Guests pay
5.1 The all in price. The Total Price is the Booking Value set by the Operator (including any Extras the Guest chooses), the Service Fee and Taxes. It is the one complete price shown on the Listing and in search results for the trip details the Guest chooses, as the Federal Competition and Consumer Protection Act 2018 requires.
5.2 Checkout lines. Checkout and the receipt itemise the Total Price as amounts, in this order: trip price, any Extras and discount, Service Fee, VAT on the Service Fee, road levy (cars only, where it applies), any other government charge that applies, and total. Every amount is shown before the Guest pays.
5.3 The price shown is the price charged. The amount charged is never higher than the Total Price shown on the Listing for the same trip details. No payment method carries a surcharge, and Processing Costs are never added to the price. Optional Extras are never preselected. Pickup applies no surge, dynamic or demand based pricing.
5.4 The Service Fee is fixed at booking. We may change how the Service Fee is calculated for future Bookings. The Service Fee included in the price a Guest books at is the one that applies to that Booking, and it does not change afterwards.
5.5 Nothing added later. After confirmation, nothing is charged except a change or extension the Guest or the Lead Traveller approves in the app. A damage or cleaning amount the Guest accepts, or that is decided against the Guest under the Guest Terms, is paid by the Guest in the app. Pickup does not take it from a payment method.
5.6 Authorisation. By paying for a Booking, the Guest authorises Pickup and the Payment Provider to charge the amount shown to the chosen payment method, and to charge to that method any amount allowed by clause 5.5. If the Operator declines or does not accept in time, the whole amount is refunded.
5.7 Acceptance at checkout. Above the Pay button, checkout shows: "By paying, you agree to the operator's cancellation policy and the Guest Terms. If you cancel, card processing costs are not refunded. Your ID check is required before the trip. If it isn't done in time, it counts as you cancelling." On a bank transfer it says bank processing costs, and on a jet deposit paid by card and transfer it says card and bank processing costs. For a jet Booking it adds "Passenger details are due by" and the cutoff time. A jet deposit also needs the box in clause 9.5. Paying is acceptance of those terms for that Booking.
5.8 Promo codes and credit. A promo code or wallet credit reduces the price only as the Promotional Credit Terms and, for referral credit, the Referral Terms allow. The reduced price is shown before the Guest pays.
6. Payment methods and security
6.1 Methods. The methods available are shown at checkout: card and bank transfer. Cash is never accepted on the Platform.
6.2 Your payment method. You confirm that you are entitled to use the payment method you choose. You may pay by a card in another person's name only with that cardholder's authority; the card issuer's authentication applies and any refund goes back to that card. A bank transfer must come from an account in the Booker's name or, for a Company Account, the company's name. We may ask for proof of authority, and decline a payment where it is not given.
6.3 Card data. Pickup never sees, receives or stores full card numbers or security codes. Card details are entered only into the Payment Provider's hosted page and replaced by a token. Pickup keeps only the token, the card brand, the last four digits, the expiry date, the issuing country and a fingerprint of the card, so it can show you the card, process charges you authorise and spot fraud. Pickup's card environment meets the Payment Card Industry Data Security Standard (PCI DSS) for merchants that fully outsource card handling (SAQ A).
6.4 Strong authentication. Your card issuer may require 3D Secure or an equivalent check, and jet card payments go through it. Any code is sent by your bank, not by Pickup. Pickup never asks for your card number, PIN, one time code or bank login by message, email or phone, and never sends codes by SMS. Report any such request to support at once.
6.5 Saved cards. You may save a card for future Bookings. Saving it takes a ₦50 verification charge, refunded straight away. A saved card is charged only for a payment you authorise under clause 5.6. You can remove it at any time in Wallet and payments.
7. Card Cap and bank transfers
7.1 Card Cap. A single card payment cannot exceed the Card Cap. A car or boat Booking above the Card Cap is paid in full by bank transfer to the Virtual Account for that Booking; a card cannot pay part of it. Section 9 sets out jets.
7.2 Virtual Accounts. A Virtual Account is issued by the Payment Provider and shown in the app with the amount and the deadline. Pay the exact amount shown, from an account in the Booker's name or, for a Company Account, the company's name. A transfer is treated as received when the Payment Provider confirms it has cleared to the Virtual Account, not when you send it.
7.3 Wrong amounts and late transfers. If you pay less than the amount due, the transfer is not accepted, and what arrived is returned to the account it came from. If you pay more, or pay after the Booking has ended or been cancelled, the excess or the late payment is returned to the account it came from. A transfer we cannot match to a Booking, or that comes from an account we cannot accept under clause 7.2 or section 18, is returned to the account it came from. Your own bank's charges for sending or receiving a transfer are a matter between you and your bank.
7.4 Transfer channel. Transfers are made in naira by NIP (instant transfer).
8. High value Bookings
For a Booking paid above ₦5,000,000, we run extra checks: ID, sanctions, device and, where the law requires it or our checks indicate a risk, evidence of the source of funds. The Booking can be confirmed while they run. If we put a check on hold or ask for source of funds, the Operator's payout waits until it is cleared.
9. Private jet payments
9.1 Flights 5 or more days away. The Guest pays a 20% deposit by card at checkout, within the Card Cap. The balance is paid by bank transfer to a Virtual Account within 48 hours of booking, against an invoice sent by email, with the account details in the app. If the deposit itself is above the Card Cap, the part above the cap is paid by bank transfer at checkout.
9.2 Flights less than 5 days away, within the Card Cap. There is no card hold. The Guest's card is charged the full Total Price at checkout, after the bank's 3D Secure check. If the Operator declines or the request lapses, the Guest is refunded in full. The refund goes back to the original payment method within 5 Business Days of Pickup sending it, and the bank may take longer.
9.3 Flights less than 5 days away, above the Card Cap. The Total Price is paid by instant bank transfer (NIP) to a Virtual Account. Until the transfer clears, the request does not go to the Operator and there is no Booking.
9.4 An unpaid balance. If a balance is not received by its deadline, the Booking counts as cancelled by the Guest at that moment, and refunds follow the Guest's cancellation option as if the Guest had cancelled then.
9.5 The deposit. The deposit is a part payment of the Total Price, and it covers the Operator's aircraft positioning and lock-out costs. If the Guest has paid only the deposit and cancels inside the notice window, or the balance deadline passes inside it, the Guest loses the whole deposit and nothing comes back. If the Guest cancels, or the deadline passes, before the window starts, the deposit comes back, less Processing Costs. At checkout the Guest must tick a required, unticked box that reads: "I explicitly acknowledge and agree that this deposit is entirely non-refundable, to cover the aircraft positioning and operational lock-out costs the operator incurs, if I cancel or don't pay the final balance within the stated notice window."
9.6 Notice. A trip must start at least 2 hours after booking, or later if the Listing needs more notice. An Operator is not obliged to operate a flight for which the full Total Price has not been received.
10. No card holds
Pickup does not place card holds. A card is charged when you pay.
11. Currency
11.1 Naira. Guests pay in naira, and receipts and refunds are in naira.
11.2 Other currencies on screen. The app can show a price in another currency for convenience, as an estimate. The amount charged is always the naira amount shown at checkout.
11.3 Your bank's charges. If your card is in another currency, your bank converts the naira amount, and it may apply its own exchange rate or foreign transaction charges, which Pickup does not set or receive.
11.4 Refunds. Refunds are made in naira, for the amount due, so Pickup applies no exchange rate. Pickup is not responsible for exchange rate movements between payment and refund, or for your bank's charges on the refund.
12. Refunds
12.1 Refunds follow the Cancellation and Refund Policy. We send them within 5 Business Days of the entitlement arising. They go back to the original payment method within 5 Business Days of Pickup sending them, and the bank may take longer.
12.2 Processing Costs. On a guest cancellation, Pickup keeps the actual card and bank cost the Payment Provider charged, and shows the amount on the refund. It is never a flat or estimated amount, and Operators get no share. If the Operator or Pickup cancels for a reason that is not the Guest's fault, or a Force Majeure Event or other major disruptive event prevents the trip, the refund is in full, including those costs. Checkout says so before the Guest pays (clause 5.7). No other deduction is made for processing.
12.3 Road levy. The road levy on a car trip is refunded in full whenever the trip does not take place.
13. Failed, reversed and disputed payments
13.1 Failed payments. If a payment fails, is declined or is reversed, the Booking may not be confirmed, or may be cancelled, and the Account may be restricted until the matter is resolved.
13.2 Talk to us first. If you think a charge is wrong, contact us through in app support before raising a Chargeback. Most issues are resolved faster in the app.
13.3 Chargeback evidence. If a Chargeback is raised on a Booking, Pickup may give the Payment Provider and card scheme the trip record, the Booking Confirmation, acceptance records, messages, the Passenger Manifest and other evidence that the trip was booked and delivered. The Guest authorises this.
13.4 No double recovery. If you receive a refund and also succeed in a Chargeback for the same amount, you must repay the duplicate amount, and we may set it off against any amount we owe you.
13.5 Amounts owed. An amount properly owed after a Chargeback on a trip that was delivered, with reasonable recovery costs, is a debt to Pickup. A Chargeback raised in bad faith breaches the Acceptable Use Policy.
13.6 Who carries a Chargeback between Pickup and the Operator. Clause 14.16 sets this out. This allocation never reduces a Guest's refund or Chargeback rights.
14. Operator payouts
14.1 How this section works. This section is the payment schedule to the Operator Agreement. In this section, "you" means the Operator. It applies with section 4, and it uses the words defined in clause 1.4.
14.2 Commission. A platform commission applies, at the rate for each service type set out in the Fee Schedule in your dashboard, which the Operator Agreement incorporates by direct reference. Commission includes VAT, and nothing is added on top. It is deducted from the Booking Value of completed Bookings, including Extras, and it is reflected in your share of any cancellation amount. It does not apply to the road levy or any other pass through amount. It is never charged to Guests, who see one complete price.
14.3 Changes to the Fee Schedule. Pickup gives at least 30 days' notice in the dashboard and by email before a rate changes. A change never applies to a Booking already confirmed. If you do not accept a change, you may stop accepting Bookings and end the Operator Agreement before it takes effect, without penalty.
14.4 The Service Fee. The Guest pays Pickup a separate Service Fee, included in the all in price on the Listing and itemised at checkout. It belongs to Pickup and is not part of your payout. Pickup does not mark up your price.
14.5 Payout schedule. Your Net Payout is sent at the Release Time in section 4. Every Operator, new or not, gets the same schedule. We tell you by push notification and email when each payout is sent. An extension the Guest accepts in the app is charged when accepted and paid with your next payout on that Booking.
14.6 Settlement Account only. Payouts are made in naira, by transfer, only to your Settlement Account, never to a personal or third party account. Pickup checks the account name with the bank, and keeps only an account in your registered business name. A new account takes effect 72 hours after it is checked. Until then, payouts keep going to your current account, and we email you about the change. While you owe a refund or other amount that comes off your payouts, you cannot change your Settlement Account, and a change already requested waits until it is cleared. This does not apply if your bank is refusing your payouts. A payout made to the account details you gave is a good payout.
14.7 Timing. Pickup instructs each payout at the Release Time. The time the money then takes to reach you depends on the Payment Provider and the banks. Pickup is not liable for a delay by a Payment Provider, bank or card scheme, except to the extent its own breach or negligence caused it. A payout instructed on a weekend or public holiday may arrive on the next Business Day. If your bank rejects a transfer, we tell you and try again.
14.8 Provider decisions and failure. The Payment Provider decides on its own policies whether to hold, freeze, reverse or refuse a payment. Pickup will tell you what it knows of the reason, unless the law or the Payment Provider forbids it. If the Payment Provider fails to pay or stops operating, Pickup takes reasonable steps to recover the funds. Pickup's obligation to pay you is limited to amounts it has actually received and is free to pay.
14.9 Trip records. You must not let a trip be recorded as started when it is not taking place, for example by not recording a Guest no show or a trip that did not go ahead. Doing so is a serious breach: the full amount paid is recoverable from you, and you may be suspended or removed.
14.10 Jets. You must review the Passenger Manifest promptly after it is submitted, and tap Approve manifest, before the cutoff (24 hours before departure for international flights, 6 hours for domestic). Approving the manifest does not release any payment. You are not obliged to operate a flight for which the full Total Price has not been received.
14.11 Discounts and promotions. A discount you offer reduces your Booking Value. A promotion, promo code or wallet credit funded by Pickup does not reduce your Booking Value or your Net Payout.
14.12 Disruption and force majeure. Where a Booking is cancelled because of a major disruptive event declared under the Major Disruptive Events Policy, the Guest receives a full refund, and nothing is recovered from you.
14.13 Deductions. We may deduct from any current or future payout:
(a) refunds paid to Guests because of your cancellation or no show, a mismatch, a replacement the Guest does not accept, a suspension or a breach, and refunds on a complaint or dispute upheld against you after you were paid (see Part D of the Cancellation and Refund Policy);
(b) what you were already paid on a Booking Pickup moves to another operator because you failed it, and any charge for that move in your Fee Schedule;
(c) Chargebacks under clause 14.16;
(d) any amount paid to you in error;
(e) any tax we are required by law to withhold; and
(f) any levy the law requires to be collected through the Platform on your trips, such as the road levy.
Each deduction is shown on the payout it is taken from, with the booking reference. We send a push notification and an email when a deduction is recorded and when each payout is sent.
14.13A Paying it back yourself. You can pay all or part of a refund you owe at any time by bank transfer to Pickup, instead of waiting for it to come off your payouts. The email telling you about the refund has the account details, and you use the booking reference as the reference. We clear it from your balance when the money arrives. You must not pay the Guest directly.
14.14 Holds.
(a) Open cases. An open case on a Booking holds the whole payout for that Booking until it is decided. Once you have been paid, a refund decided against you comes off your next payouts, unless you pay it back by transfer first (clause 14.13A).
(b) Investigations. Where we reasonably suspect fraud, document falsity, money laundering or a serious safety breach, we may hold payouts on the Bookings concerned while we investigate. A hold of this kind lasts until it is cleared, with no 72 hour limit. We tell you about it unless telling you would prejudice the investigation or break the law.
(c) Legal and provider requirements. We hold funds where a court, a regulator, a law enforcement agency acting lawfully or the Payment Provider requires.
(d) Release. Held amounts are released once the matter closes. A hold is not a finding of breach.
14.15 Reserves. A reserve beyond these holds may be kept only where there is a real risk that amounts will become owed by you and cannot otherwise be recovered: refunds and Chargebacks attributable to you are materially above the Platform average over a rolling 90 days; either party has given notice of termination; you are subject to an insolvency event or a regulatory suspension; or you are under investigation for fraud or document falsity. A reserve is limited to our reasonable estimate of the exposure and never exceeds 20% of your unpaid payouts at the time it is set. We tell you the reason and amount in writing, review it at least every 30 days, and release it, less amounts properly applied, when the risk ends and in any event within 120 days after your last trip.
14.16 Chargebacks and reversals. If a Guest's bank, the card scheme or the Payment Provider reverses a payment, we respond using the trip record. We ask you for evidence, and you must send it through the app within 5 Business Days of our request, or any shorter period we state to meet a card scheme deadline. While a Chargeback is open, its disputed amount is held back from your payouts, never below zero. If the Chargeback is won, what was held goes back to you with the next payout run.
(a) You carry it if it succeeds because the service was not provided, was performed materially other than as booked, involved a mismatch or an unrecorded substitution, or you took payment or the Booking off the Platform, or because you do not provide evidence in time.
(b) Pickup carries it if it succeeds because a fraudulent payment or a false identity got past Pickup's own checks (3D Secure and identity verification) on a trip you delivered as booked, and on any other Chargeback on a trip you delivered properly and can evidence.
(c) A bank transfer recalled or reversed by the paying bank, or by an authority as the proceeds of fraud, is handled as a Chargeback.
14.17 Negative balance. Where an amount you owe is more than the Net Payout then due, your Pickup balance is negative, and later Net Payouts are applied to it, oldest first, before anything is paid. No payout is made below zero. If deductions do not clear an amount within 30 days, the balance is a debt due on written demand, with reasonable recovery costs. The Platform record is prima facie evidence of the amount, without preventing you from proving a different amount.
14.18 Tax.
(a) Your taxes. You are responsible for all tax on your own revenue, including income tax and VAT on your services, and for tax and statutory contributions for your own personnel.
(b) VAT in the Commission. Commission includes VAT, so no VAT is added at payout. Your monthly statement shows gross booking value, the Commission, the VAT inside the Commission, and Pickup's Tax Identification Number. Taxes are accounted for as the Nigeria Tax Act 2025 and the Nigeria Tax Administration Act 2025 require.
(c) Withholding tax. Where the law requires, Pickup withholds tax from a payout and remits it, unless you give a valid exemption, and gives you the receipt or credit note for the amount withheld. If the law requires you to withhold tax on the Commission, you must tell Pickup in writing before the Booking concerned, remit the tax yourself, and give Pickup the receipt within 30 days after the month concerned. Pickup then credits the amount against your next payout. Without a valid receipt, no credit is due.
(d) Road levy. Clause 17.3 applies. Pickup collects and remits the levy as your agent. It is not Booking Value, not Commission and never Pickup's revenue.
(e) Tax details. A valid Tax Identification Number is a condition of listing. We may hold payouts until you give us the tax information the law requires us to have before we pay, and we will tell you what is missing.
(f) Tax collected in error. If Pickup miscalculates a tax, Pickup puts it right. If Pickup withholds or collects a tax as the law requires and it later proves not to have been due, your remedy is a refund or credit from the tax authority, and Pickup will give you the receipts and documents you need to claim it.
14.19 Statements, errors and queries. Each payout record shows the Net Payout, its Release Time and any deductions. You can download your monthly statement in the dashboard. Raise any payout query through operator support within 60 days of the date of the statement. We reply within 14 days, and we correct errors in either direction. A query raised later will still be considered where the error was not reasonably visible from the statement, or arises from fraud or a mistake by Pickup or the Payment Provider.
14.20 Records. Payout statements and booking records are kept for 5 years, and we will send a copy of any statement on request. The Platform record is prima facie evidence of the amounts due, without preventing either party from proving a different amount, and it may be produced in evidence as an electronic record under the Evidence Act 2011.
14.21 Suspension and termination. If you are suspended, payouts for trips already started continue on the usual schedule, subject to clause 14.14. After termination, Net Payouts for started trips are paid on the usual schedule, subject to set off and any reserve. Any balance you owe after that is a debt under clause 14.17, which Pickup may recover by any other lawful means.
14.22 Changes and contact. We give at least 30 days' notice in the dashboard and by email before changing this section to your disadvantage, unless the Payment Provider, the law or a regulator requires a faster change, when we tell you as soon as we can. A change never applies to a Booking already confirmed. Disputes are resolved under the Disputes and governing law section of the Operator Agreement. Payout queries: operator support in the dashboard, or support@pickupcharter.com.
15. Delays, provider failure and frozen funds
15.1 What Pickup does. Pickup instructs payouts and refunds on time and follows up any delay with the Payment Provider. We tell the affected Guest or Operator if a payment is delayed and, where we can, why.
15.2 What Pickup does not control. The Payment Provider, banks, card schemes, the Nigeria Inter Bank Settlement System and correspondent banks act under their own rules. Pickup is not liable for a delay, failure, hold or error caused by one of them, by a bank holiday, or by a Force Majeure Event (as defined in the Guest Terms), except to the extent caused by Pickup's own breach or negligence.
15.3 Holds by law or a regulator. The Payment Provider, a bank or an authority may freeze, hold or return funds, for example under anti money laundering or sanctions law or a court order. Pickup will not be liable for complying with, or being unable to act because of, such a hold. Where the law allows, we tell the person affected.
15.4 If the Payment Provider fails. If the Payment Provider becomes insolvent or stops operating, Pickup will take reasonable steps to recover the funds, move payments to another provider and tell those affected. Clause 2.3 still protects the Guest: a Guest who has paid has paid the Operator.
15.5 Limits. Pickup's liability under these Payments Terms is subject to the liability section of the Guest Terms (for Guests) or the Operator Agreement (for Operators). Refunds Pickup must pay under these terms are not limited by that cap. No cap or exclusion in these terms applies to death, personal injury, gross negligence, fraud, or anything the Federal Competition and Consumer Protection Act 2018 does not allow Pickup to exclude.
16. Wallet credit
16.1 Wallet credit (for example, referral credit) is a discount funded by Pickup on future Bookings. It is not money, e money, a deposit or a payment instrument. It cannot be bought, withdrawn, transferred or exchanged for cash, earns no interest and expires as its terms state.
16.2 Credit applies to the Booking Value only, not the Service Fee or Taxes, and may cover up to 50% of the Booking Value of any one Booking unless a code's conditions say otherwise. Using credit never reduces what the Operator receives.
16.3 Unless its terms state a shorter period, wallet credit expires 12 months after it is added. The Promotional Credit Terms and the Referral Terms give the full rules.
17. Taxes
17.1 Pickup's VAT. Where the law requires it, Pickup charges VAT on its own supplies. VAT on the Service Fee is shown as its own line at checkout and is inside the Total Price. VAT on the Commission is inside the Commission (clause 14.18). Taxes are charged and accounted for as the Nigeria Tax Act 2025 and the Nigeria Tax Administration Act 2025 require, and receipts, invoices and statements are issued electronically as the law requires. Where the Nigeria Revenue Service (NRS) designates Pickup as a collection agent, Pickup will collect and remit as directed.
17.2 The Operator's taxes. Each Operator is responsible for VAT and other taxes on its own supply, the Booking Value. For flights, the Air Operator's Certificate holder includes any NCAA charge in its price and accounts for it to the NCAA.
17.3 Road levy. A Lagos State road levy is collected only on car trips. Pickup collects and remits it as the Operator's agent. It is shown as its own statutory line at checkout, as an amount, with no VAT on it, and is part of the all in price. No levy is added after you pay. It is refunded in full if the trip does not take place. Pickup has applied for the Lagos State Service Entity Permit in the car rental (chauffeur hire) category. The road levy is held for trips that take place, and is not Pickup's revenue.
17.4 Tax details and errors. If a tax or levy is collected in error because of Pickup's own miscalculation, Pickup puts it right and refunds you. Otherwise, if it has already been paid to a tax authority, the remedy for its return lies against that authority, and Pickup will give you the records you need to claim it.
17.5 Company Accounts. A Company Account receives invoices as the Corporate Terms describe. A company may deduct withholding tax where the law allows, and must send the credit note.
18. Financial crime and sanctions
18.1 Screening. Pickup and the Payment Provider screen Accounts and payments to meet obligations under the Money Laundering (Prevention and Prohibition) Act 2022, terrorism financing law, the Cybercrimes (Prohibition, Prevention, etc.) Act as amended, and sanctions imposed by Nigeria, the United Nations, the United Kingdom, the European Union and the United States, where they apply.
18.2 What we may do. We may delay, decline, hold or reverse a payment, refuse or cancel a Booking, ask for identity or source of funds information, and restrict an Account, where we reasonably suspect fraud, money laundering, terrorism financing, a sanctions breach or other unlawful activity. We may report to the Nigerian Financial Intelligence Unit or another authority as the law requires, without telling you where the law prohibits it.
18.3 Your promise. You confirm that you are not a sanctioned person, are not acting for one, and will not use the Platform to move money for anyone else.
19. Off platform payments
Every payment for a trip arranged through Pickup must be made through the Platform. Operators and crew must never ask for or accept cash or transfers for a Booking. Off platform payments fall outside the refund, Chargeback and dispute protections in these terms. See the Off Platform Booking Policy. A tip is a personal gift, not a payment for the Booking (see the Tips Policy).
20. Payment data and records
20.1 Personal data. Payment data is processed as the Privacy Policy describes, under the Nigeria Data Protection Act 2023. The Payment Provider also processes it under its own privacy notice, including for its own legal checks.
20.2 Records. Payment, acceptance, payout, refund and Chargeback records are created and kept electronically. They may be produced in evidence, with any certificate the Evidence Act 2011 requires for electronic records. You may challenge their accuracy but not their admissibility only because they are electronic.
21. Changes, disputes and contact
21.1 Changes. We may update these Payments Terms. For a material change we give Guests at least 30 days' notice in the app or by email, and Operators at least 30 days' notice in the dashboard and by email. A change required by law or for safety takes effect immediately. You accept a new version as the Guest Terms or the Operator Agreement describe, or you may close your Account instead. A change never applies to a payment already made for a confirmed Booking.
21.2 Law and disputes. These Payments Terms are governed by the laws of the Federal Republic of Nigeria. Guest disputes are resolved as the Complaints and disputes section of the Guest Terms provides, including the right to complain to the Federal Competition and Consumer Protection Commission (FCCPC) at any time and, for Guests who live in the United Kingdom or the European Union, the right to claim in their home courts and their mandatory consumer rights. Operator disputes are resolved as the Disputes and governing law section of the Operator Agreement provides. Formal court process is served as the rules of court require, at Pickup's registered office, whose address is on the public register kept by the Corporate Affairs Commission.
21.3 Your rights. Nothing in these terms limits any right you have under the Federal Competition and Consumer Protection Act 2018 or other law that cannot be excluded.
21.4 Notices. Notices to Pickup are given by email to legal@pickupltd.com (privacy matters: privacy@pickupltd.com) and take effect when received. Notices to you are given in the app or to the email address on your Account.
21.5 Contact. Payment questions: in app support or support@pickupcharter.com.
